Position Summary
The Board Liaison Officer serves as the primary connector between the Board of Directors and the Executive Director/staff, ensuring the board has the information, materials, and support it needs to govern effectively and fulfill its fiduciary duty to the mission. This role safeguards governance records, supports board development and fundraising engagement, and helps maintain the strong board essential to nonprofit success.

Key Responsibilities
Board Meeting Coordination
- Ā Schedule and organize board and committee meetings (Governance, Finance, Development/Fundraising, Program committees, etc.)
- Ā Prepare and distribute board packets, agendas, financial reports, and program updates in advance of meetings using all Electronic means.
- Ā Record accurate minutes; track motions, votes, and action items, following up to ensure completion
Communication & Liaison
- Ā Serve as the central point of contact between board members, CEO/GM through CEO office
- Ā Relay updates on programs, finances, and organizational needs to keep the board informed between meetings
- Ā Support communication flow among board committees, especially fundraising and governance committees
Governance & Compliance Support
- Ā Maintain corporate records: bylaws, board policies, resolutions, minutes, and conflict-of-interest disclosures
- Ā Track board member terms, attendance, and committee participation
- Ā Support compliance with state nonprofit regulations
- Ā Assist with insurance renewals and annual filings as needed
Board Development & Engagement
- Ā Support board recruitment, onboarding, and orientation for new members
- Ā Coordinate board training on nonprofit governance, fiduciary duty, and fundraising responsibilities
- Ā Track board giving and help facilitate board members’ fundraising and ambassador activities
- Ā Help plan board retreats and strategic planning sessions
Documentation & Reporting
- Ā Maintain an organized archive of governance documents and historical board records
- Ā Prepare briefing materials and dashboards on progress toward strategic goals
- Ā Support preparation of materials for external audits, grant reporting, or accreditation reviews
Stakeholder & Event Support
- Ā Coordinate board attendance at fundraising events, galas, and donor cultivation activities
- Ā Support relationship-building between CEO/GM, Board members, major donors, and community partners
- Ā Manage correspondence with board members on governance and mission-related matters through CEO/GM office
Qualifications
Required
- Ā Bachelor’s degree in nonprofit management, public administration, business, or related field (or equivalent experience)
- Ā 3+ years of experience in nonprofit administration, governance, executive support, or board relations
- Ā Excellent written and verbal communication skills
- Ā Strong organizational skills and high attention to detail
- Ā Discretion in handling confidential board, donor, and organizational information
- Ā Proficiency with office software and board management platforms (e.g., BoardEffect, Diligent, OnBoard)
Preferred
- Ā Experience working directly with a nonprofit board of directors
- Ā Familiarity with nonprofit governance best practices (BoardSource standards, Sarbanes-Oxley-inspired nonprofit policies)
- Ā Knowledge of reporting requirements
- Ā Experience supporting fundraising or development functions
- Ā Notary public certification (a plus)

Working Conditions
- Ā Primarily office-based with evening/weekend hours required for board meetings, fundraising events, and retreats
